These terms govern your use of devereauxco.com (the "Site") and any related content, tools, or features we make available online. Devereaux & Co ("we," "us," or "our") is a Certified Public Accounting practice based in Jackson, Michigan. Please read these terms carefully before using the Site.

01 Acceptance of These Terms

By accessing or using the Site, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Site. We may update these terms from time to time as described in Section 12.

02 About Our Firm & Services

Devereaux & Co is a Certified Public Accounting firm. We provide tax preparation and advisory services, bookkeeping, payroll, fractional CFO services, and related back-office and growth services to owner-operated businesses.

Our principal, Ross Devereaux, is a CPA licensed in the State of Michigan. Attest services (including reviewed and audited financial statements) are performed only in jurisdictions where we are properly licensed. Non-attest services — including tax preparation, bookkeeping, payroll, and advisory work — are provided across multiple states, subject to applicable state rules.

03 Engagement Letters Govern

This is important: Use of the Site, submission of a contact form, or scheduling a consultation does not create a professional relationship between you and Devereaux & Co.

A client–firm relationship is established only when both parties sign a written engagement letter (or similar written agreement) that describes the specific services to be performed, the responsibilities of each party, fees, and other terms. Until that engagement letter is signed, we owe no professional duties to you with respect to the matters discussed.

Where any engagement letter we sign with you conflicts with these terms, the engagement letter controls with respect to the services it covers.

04 Not Professional Advice

The content on the Site — including articles, service descriptions, pricing summaries, calculators, lead magnets, and downloadable resources — is provided for general informational purposes only. It is not, and should not be relied upon as, tax, accounting, legal, financial, or other professional advice for your specific situation.

Tax law, accounting standards, and regulations change frequently and vary by state and circumstance. Before acting on any information you find on the Site, consult a qualified professional who has reviewed the specific facts of your matter.

05 Acceptable Use

You agree to use the Site lawfully and respectfully. You agree not to:

  • Use the Site in any way that violates applicable law or regulation

  • Attempt to gain unauthorized access to any portion of the Site, our systems, or any account other than your own

  • Interfere with, disrupt, or impose an unreasonable load on the Site's infrastructure

  • Submit false, misleading, or fraudulent information through any form on the Site

We reserve the right to suspend or terminate your access to the Site if we reasonably believe you have violated these terms.

All content on the Site — including text, graphics, logos, images, photographs, audio, video, and software — is owned by or licensed to Devereaux & Co and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may view, download, and print Site content for your personal, non-commercial reference only. Any other use — including reproduction, distribution, modification, public display, or any commercial use — requires our prior written consent.

"Devereaux & Co," our logos, and our distinctive visual identity are trademarks of Devereaux & Co. You may not use them without our prior written permission.

07 Third-Party Links & Tools

The Site may link to or integrate with third-party websites, services, and tools (for example, scheduling platforms, payment processors, document portals, or referenced software). We do not control these third parties and are not responsible for their content, practices, or terms.

When you leave the Site through a third-party link or use a third-party tool, that third party's terms and privacy policy apply. We encourage you to review them before providing any information.

08 Disclaimer of Warranties

The Site and all Site content are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

We do not warrant the accuracy, completeness, or timeliness of any information on the Site. Pricing, service descriptions, and availability are subject to change without notice.

09 Limitation of Liability

To the fullest extent permitted by law, in no event will Devereaux & Co, its principals, employees, contractors, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or related to your use of the Site will not exceed one hundred U.S. dollars ($100). This limitation does not apply to liability that cannot be limited under applicable law.

The limitations in this section apply to claims arising from your use of the Site. Liability arising from a signed engagement letter is governed by the terms of that engagement letter.

10 Indemnification

You agree to defend, indemnify, and hold harmless Devereaux & Co and its principals, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these terms, your misuse of the Site, or your violation of any third-party right.

11 Governing Law & Disputes

These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or your use of the Site will be brought exclusively in the state or federal courts located in Jackson County, Michigan, and you consent to the personal jurisdiction of those courts.

Any claim must be brought within one (1) year after it arises, or it is permanently barred.

12 Changes to These Terms

We may update these terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Site after we post changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, please stop using the Site.

13 Severability

If any provision of these terms is found to be unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
